NOTICE OF FAILURE TO EXECUTE DEVELOPMENT AGREEMENT

The City of Burbank (“City”) executes, acknowledges and hereby delivers this Acknowledgement of Development Approval to Security Trust Company, as trustee (“Trustee”), pursuant to Section 6.1 of the Land Title Trust Agreement by and among the City, the Burbank-Glendale-Pasadena Airport Authority and Trustee, dated August __, 1999. This document is the “Notice of Failure to Execute Development Agreement” described in paragraph B.4 of the Final Order of Condemnation entered ____________, 1999, in Burbank-Glendale-Pasadena Airport Authority v. Lockheed Corporation, et al, Los Angeles County, Superior Court, case number BC 155222.

In Witness Whereof, the City has caused its name to be affixed hereto and this instrument to be executed by the authorized agents of the City, thereunto duly authorized.
